These Terms should be read alongside any quotation, purchase order, pro forma invoice, service agreement, supply contract, project proposal or other written agreement issued or accepted by Ewezon Group Limited.
Where a separate written agreement expressly varies a provision of these Terms, the relevant provision of that agreement shall prevail for the transaction concerned, to the extent permitted by applicable law.

- Other agricultural commodities agreed upon by the parties.
Commodity availability, grade, origin, moisture content, packaging, quantity, quality, pricing and delivery arrangements shall be determined by the applicable quotation, specification sheet, sample approval or supply agreement.
Listing a commodity on our website does not guarantee that it is currently available, in stock, ready for immediate shipment or available at a previously quoted price.
3.2 Import and Export Services
Ewezon may support domestic and international trade through sourcing, supplier coordination, buyer and seller communication, trade documentation support, order coordination and other agreed import or export activities.
International transactions may be subject to export permits, import licences, customs procedures, product standards, inspection requirements, sanctions restrictions, foreign exchange rules and other applicable laws in Nigeria and the destination country.
Unless expressly agreed in writing, Ewezon does not guarantee that a buyer, seller, shipment, customs clearance or international transaction will be completed within a particular period.
3.3 Supply, Procurement and Global Sourcing
We may assist clients in identifying suppliers, obtaining quotations, comparing product specifications, coordinating procurement and sourcing goods locally or internationally.
Supplier information and quotations may change without notice. Unless we expressly undertake otherwise in writing, supplier introductions and sourcing assistance do not constitute a guarantee of a supplier’s financial standing, future performance or continuing availability.
The responsibilities of Ewezon and the client shall be stated in the relevant procurement agreement or transaction documents.
3.4 Logistics and Trade Support
Where agreed, Ewezon may coordinate transport arrangements, shipping enquiries, delivery schedules, documentation and communications with logistics providers.
Unless Ewezon expressly contracts as the carrier or assumes a specific transport obligation in writing, the actual carriage of goods may be performed by independent third-party providers.
Transport charges, insurance, customs duties, port charges, storage, demurrage, detention, inspection fees and other related costs shall be allocated according to the applicable quotation, contract and agreed delivery terms.
3.5 Technology and Digital Solutions
Our technology and digital services may include:
- Website design and development.
- WordPress development and website maintenance.
- E-commerce website development.
- Mobile application development.

3.6 Business Consultancy and Advisory Support
Ewezon may provide business planning support, sourcing guidance, trade-related consultancy, digital strategy, procurement advice and other agreed business support services.
Unless expressly agreed otherwise, our consultancy services are provided for general business and operational guidance. They do not replace independent legal, tax, accounting, investment, customs, regulatory or other professional advice that a client may require.
4. ELIGIBILITY AND AUTHORITY
By engaging our services, you represent that:
- You are legally capable of entering into a binding agreement.
- The information you provide is accurate and complete to the best of your knowledge.
- If you act for a company, organisation or another person, you have the necessary authority to do so.
- You will comply with applicable laws, regulations and contractual obligations.
- You will not use our website or services for fraud, unlawful activities, sanctions evasion, money laundering or other prohibited purposes.
We reserve the right to request reasonable identification, company registration information, business references, beneficial ownership details or other verification documents where required for legitimate business, compliance, fraud-prevention or transaction purposes.
We may decline, suspend or terminate a proposed transaction where we reasonably believe that proceeding would violate applicable law, create an unacceptable compliance risk or involve materially misleading information.
5. WEBSITE INFORMATION AND AVAILABILITY
We endeavour to ensure that information published on our website is accurate, useful and current. However, website content is provided for general information and may contain descriptions, examples, estimates, illustrations or indicative information.
Unless expressly incorporated into a written agreement, website content does not constitute a binding offer to sell goods, guarantee product availability, guarantee a particular business outcome or create an obligation to provide services on specific terms.
We may update, modify, suspend or discontinue any part of the website without prior notice where reasonably necessary.
We do not guarantee uninterrupted website access, error-free operation or compatibility with every device, browser, platform or third-party service.
6. ENQUIRIES, QUOTATIONS AND ORDERS
6.1 Enquiries
Submitting a contact form, email, telephone enquiry or other request does not automatically create a contract or oblige Ewezon to accept an order.
We may request further information before preparing a quotation or confirming an engagement.
6.2 Quotations
Unless otherwise stated, quotations are subject to the stated validity period, product availability, supplier confirmation, exchange-rate movements, shipping costs, taxes and other relevant commercial conditions.
A quotation shall identify, where applicable:
- Product or service description.
- Quantity, grade, specifications or project scope.
- Unit price and total price.
- Currency and applicable taxes.
- Payment terms and deposit requirements.
- Delivery location and proposed delivery terms.
- Estimated timeline.
- Inspection, packaging and documentation requirements.
- Exclusions, assumptions and additional charges.
- Quotation validity and acceptance procedure.
A quotation becomes binding only when accepted in accordance with its stated terms and any required written confirmation, deposit or contract execution has occurred.
6.3 Order Acceptance
Ewezon may accept or reject an order before confirming it in writing. An order may require supplier confirmation, satisfactory due diligence, payment, documentation or other stated conditions.
Clients should not treat an order as confirmed until the relevant acceptance or contract documentation has been issued.
6.4 Changes to Orders
Changes to product specifications, quantity, destination, project scope, delivery schedule or other material terms must be agreed in writing.
Changes may affect price, delivery dates, supplier commitments, shipping arrangements and other obligations. Additional charges may apply.
7. COMMODITY QUALITY, GRADING AND SPECIFICATIONS
Agricultural commodities may vary naturally due to season, origin, harvest conditions, processing methods, storage and handling.
For commodity transactions, the applicable contract should identify relevant quality standards and measurable specifications, which may include grade, variety, moisture level, foreign matter, size, colour, packaging, quantity tolerance, inspection requirements and other relevant characteristics.
Where samples are provided, the parties should expressly agree whether the sample is representative, binding or indicative only.
Photographs, website images, catalogue descriptions and general product illustrations are not substitutes for agreed specifications, samples or inspection procedures.
Where quality inspection is required, the parties should agree on the inspection method, inspector, location, timing, sampling procedure, costs and procedure for handling discrepancies before shipment or delivery.
Any quality claim must be supported by appropriate evidence and submitted within the period specified in the applicable contract. The client should preserve relevant packaging, samples, photographs, inspection reports and transaction documents where reasonably possible.
Nothing in these Terms excludes a remedy that cannot lawfully be excluded.
8. PRICING, CURRENCY, TAXES AND ADDITIONAL COSTS
Prices may be quoted in Nigerian naira or another agreed currency.
Commodity prices may fluctuate due to harvest conditions, market demand, product grade, supplier costs, foreign exchange movements, international freight, insurance, government charges and other market factors.
Unless expressly stated otherwise, quoted prices exclude charges not identified in the quotation, including applicable taxes, duties, levies, bank charges, currency conversion fees, inspection costs, insurance, storage, port charges and third-party service fees.
The relevant quotation or contract shall determine which party is responsible for each cost.
Where a change in law, supplier price, freight charge, exchange rate or other material commercial condition occurs before a binding order is accepted, Ewezon may issue a revised quotation.
After acceptance, a price adjustment shall be made only in accordance with the contract or a written variation agreed by the parties, subject to applicable law.
9. PAYMENT TERMS
Clients shall make payments in accordance with the relevant quotation, invoice, purchase order or written agreement.
Payment terms may include deposits, advance payments, milestone payments, balance payments before dispatch, payment against agreed shipping documents or other commercially agreed arrangements.
Unless otherwise agreed in writing:
- Payments must be made through the authorised payment instructions provided by Ewezon.
- Clients are responsible for ensuring that payment reaches the correct account and for applicable transfer, intermediary-bank or currency-conversion charges.
- A payment receipt or transfer instruction does not necessarily establish that cleared funds have been received.
- Ewezon may delay procurement, production, development, dispatch or delivery until required payments have cleared.
- A client must promptly report any suspected fraudulent payment instruction or unauthorised change to payment details.
Clients should independently verify unusual payment requests through a previously verified company contact channel.
Ewezon will not be responsible for losses caused by payments made to an unauthorised third party where the client failed to take reasonable steps to verify suspicious or altered payment instructions, except to the extent liability cannot lawfully be excluded.
10. REFUNDS, CANCELLATIONS AND REIMBURSEMENTS
Refunds and cancellations shall be governed by the applicable contract, the nature of the goods or services, any agreed cancellation terms and applicable law.
10.1 Commodity and Supply Orders
Once goods have been procured, processed, packed, reserved, customised or dispatched, cancellation may be restricted and non-recoverable costs may apply.
Where Ewezon has received payment for goods or services that cannot be supplied as agreed due to a matter for which Ewezon is responsible, the appropriate remedy, including a refund where applicable, shall be determined by the contract and applicable law.
A client cannot automatically cancel a confirmed order solely because market prices have changed or the client no longer wishes to proceed.
10.2 Digital Projects
Deposits and milestone payments for digital services may cover planning, research, design, development, labour, licences and other project costs.
If a client cancels a project, Ewezon may account for work completed, agreed non-recoverable expenses and contractual cancellation charges, subject to applicable law and the relevant service agreement.
Any refund due shall be assessed in accordance with the agreed project terms and applicable legal requirements.
10.3 Third-Party Charges
Payments made to shipping companies, inspection agencies, hosting providers, domain registrars, software vendors and other third parties may be subject to those providers’ own refund and cancellation policies.
Ewezon will explain any applicable third-party conditions that are material to the engagement where reasonably practicable.
No provision in these Terms removes any mandatory refund, cancellation or consumer protection right applicable by law.
11. DELIVERY, SHIPPING AND TRANSFER OF RISK
Delivery arrangements shall be set out in the applicable order confirmation or contract.
Estimated delivery dates are estimates unless a binding delivery date has been expressly agreed in writing. Delays may arise from weather, port congestion, customs procedures, transport disruptions, supplier issues, inspections, regulatory requirements or other events outside reasonable control.
For international commodity transactions, the parties should specify the applicable Incoterms® rule, version and named place or port where relevant. Incoterms® should not be assumed to apply unless agreed or clearly incorporated into the transaction documents.
The contract should identify the party responsible for export clearance, import clearance, freight, insurance, unloading, duties, taxes and other delivery obligations.
Risk of loss or damage and transfer of ownership shall be determined by the applicable contract and law. They may transfer at different times.
Clients must provide accurate delivery details, destination requirements and documents reasonably needed to complete delivery.
Where the client fails to accept delivery, provides incorrect information or causes a delay, reasonable additional storage, redelivery, demurrage or related costs may be charged where contractually permitted.
12. IMPORT AND EXPORT COMPLIANCE
Each party shall comply with the laws and regulatory requirements applicable to its responsibilities in the relevant transaction.
Depending on the commodity and destination, these may include export and import licences, customs declarations, certificates of origin, phytosanitary certificates, quality or inspection certificates, food safety requirements, packaging and labelling rules, foreign exchange requirements and other applicable documentation.
Unless expressly agreed in writing, the client remains responsible for obtaining licences, approvals and registrations required of the client as buyer, importer, consignee or end user.
Ewezon shall only undertake documentation or compliance responsibilities expressly accepted under the relevant transaction agreement.
No party may request that the other party falsify documents, misdeclare product value, conceal product origin, evade customs duties or breach applicable trade restrictions.
If a transaction cannot lawfully proceed, the parties shall cooperate in determining an appropriate lawful resolution, including suspension or cancellation where necessary.
13. LOGISTICS AND THIRD-PARTY SERVICE PROVIDERS
Ewezon may work with independent transporters, freight forwarders, shipping companies, customs agents, warehouses, inspection bodies, payment processors, technology providers and other service providers.
Unless otherwise agreed in writing, such providers operate under their own contractual terms and responsibilities.
Ewezon shall exercise reasonable care in performing any provider-selection or coordination obligations expressly undertaken by it. However, we do not guarantee the independent performance, solvency, availability or conduct of a third-party provider.
Where a third party directly contracts with the client, claims concerning that third party’s performance may need to be directed to that provider, without prejudice to any rights the client may have against Ewezon under an applicable agreement or law.
14. TECHNOLOGY AND DIGITAL PROJECT TERMS
14.1 Project Scope
Each digital project should be governed by an agreed proposal or statement of work specifying deliverables, functionality, platform, milestones, price, payment schedule, timeline, revision limits and any post-launch support.
Work outside the agreed scope may require an additional quotation and written approval.
14.2 Client Responsibilities
Clients must provide accurate content, brand assets, images, credentials, product information, approvals and other materials reasonably required for the project.
Clients are responsible for ensuring that materials they provide may lawfully be used and do not infringe third-party rights.
Delays in providing content, feedback, approvals or payments may affect delivery dates.
14.3 Revisions and Acceptance
The number and type of included revisions shall be stated in the project agreement.
A revision means an agreed adjustment to existing work within the original scope. A new feature, redesign, new page or material change in direction may be treated as additional work.
The client shall review deliverables within the period specified in the agreement and promptly identify material non-conformities. Any acceptance procedure shall be subject to applicable law and the written project terms.
14.4 Hosting, Domains and External Services
Hosting, domain registration, premium themes, plugins, fonts, stock images, software subscriptions, APIs, email services and other third-party products may involve separate fees and renewal obligations.
Unless expressly included in the contract, such charges are not part of the development fee.
Third-party products and services remain subject to their own licences, terms, renewal policies and technical limitations.
14.5 Maintenance and Security
Website maintenance, backups, updates, security monitoring, malware removal, uptime monitoring and ongoing technical support are included only where expressly agreed.
Clients who manage their own websites are responsible for maintaining appropriate access controls, secure passwords, backups and updates, unless these responsibilities have been assigned to Ewezon in writing.
No website or software system can be guaranteed to be completely free from vulnerabilities, interruptions or technical failures.
14.6 Search Engine and Marketing Results
SEO, digital marketing and promotional services involve factors outside our control, including search engine algorithms, competition, advertising platform policies, market conditions and audience behaviour.
Unless a specific measurable result has been expressly guaranteed in a signed agreement, Ewezon does not guarantee particular search rankings, website traffic, sales, revenue, leads, followers or advertising returns.
14.7 Handover and Access
Upon fulfilment of the applicable payment and handover conditions, Ewezon shall provide the deliverables and access expressly included in the project agreement.
Clients are responsible for safeguarding their credentials after handover and for paying any ongoing hosting, domain, subscription or maintenance fees assigned to them.
15. INTELLECTUAL PROPERTY RIGHTS
15.1 Website Content
Unless otherwise stated, the website’s original text, graphics, logos, layouts, branding, design elements and other materials owned by Ewezon are protected by applicable intellectual property laws.
You may view and use our website for legitimate personal or business enquiry purposes. You must not reproduce, republish, distribute, modify or commercially exploit our protected materials without prior written permission, except where permitted by law.
15.2 Client Materials
Clients retain ownership of materials they own and supply to Ewezon, subject to any applicable third-party rights.
Clients grant Ewezon the limited permission reasonably necessary to use, reproduce, modify and process those materials to deliver the agreed services.
Clients represent that they have the necessary rights, permissions and licences for materials supplied to us.
15.3 Digital Deliverables
Ownership and usage rights in commissioned websites, graphics, software, source files, designs and other deliverables shall be determined by the relevant project agreement.
Unless otherwise agreed, full transfer of rights in specifically commissioned deliverables may be conditional upon receipt of all payments due.
Third-party software, open-source components, stock assets, fonts, themes and plugins remain subject to their respective licences. No agreement with Ewezon transfers rights that Ewezon does not own or have authority to transfer.
15.4 Portfolio Use
Ewezon may display completed work in its portfolio or promotional materials only where permitted by the project agreement, client consent or other lawful basis. Confidential information and sensitive client materials shall not be disclosed without appropriate authorisation.
16. CONFIDENTIALITY
Each party shall take reasonable steps to protect confidential business information received from the other party.
Confidential information may include supplier details, buyer information, pricing, commercial strategies, product specifications, credentials, unpublished designs, proposals and non-public transaction documents.
Confidential information shall not be disclosed to unauthorised persons except where disclosure is authorised, necessary for the agreed services under appropriate safeguards, required by law or otherwise legally permitted.
Information already lawfully known, publicly available through no breach of duty, independently developed or lawfully obtained from another source may not be treated as confidential solely because it relates to a business relationship.
Confidentiality obligations shall continue for the period required by the applicable agreement or law.
17. PRIVACY AND DATA PROTECTION
Ewezon may collect and process personal and business information submitted through website forms, email, telephone, contracts, invoices and business communications.
Such information may include names, business contact details, company information, delivery details, transaction records and other information reasonably necessary for enquiries, service delivery, verification, payments, customer support, legal compliance and legitimate business administration.
We shall handle personal information in accordance with applicable data protection laws, including the Nigeria Data Protection Act 2023 where applicable, and our Privacy Policy.
Where reasonably necessary and lawful, information may be shared with service providers, professional advisers, logistics partners, payment processors, regulators or other relevant parties for the purposes of delivering services or complying with legal obligations.
International transactions may involve cross-border data transfers, which must be handled in accordance with applicable law.
You should not submit passwords, payment card security codes or unnecessary sensitive personal information through general website enquiry forms.
Please consult our Privacy Policy for further details on data collection, use, retention, security and applicable data subject rights.
18. ACCEPTABLE USE OF THE WEBSITE
You agree not to:
- Use the website for unlawful, fraudulent or deceptive purposes.
- Submit false, misleading or unauthorised information.
- Attempt to gain unauthorised access to our website, systems, accounts or databases.
- Introduce malicious software, harmful code or other security threats.
- Interfere with the website’s operation, integrity or security.
- Copy, scrape or commercially exploit website content without permission or a lawful basis.
- Impersonate another person or misrepresent your authority.
- Use the website in a manner that infringes intellectual property, privacy or other legal rights.
We may restrict or suspend access where reasonably necessary to protect the website, our clients, our business or other users, subject to applicable law.
19. WARRANTIES AND DISCLAIMERS
Ewezon will perform its expressly agreed obligations with reasonable care and skill, subject to the applicable contract and law.
Except for warranties expressly stated in a written agreement or imposed by law, website content, general product descriptions, third-party information and indicative business information are provided without a guarantee that every detail will be complete, current or suitable for every purpose.
For commodity transactions, the applicable specifications, inspection terms, sample arrangements and contractual warranties shall govern product conformity.
For digital projects, the agreed scope, functionality, acceptance criteria, support terms and express warranties shall govern the work.
We do not warrant that every third-party platform, shipping service, payment system or software component will operate without interruption or change.
Nothing in these Terms excludes a warranty, representation or statutory protection that cannot lawfully be excluded.
20. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, neither party shall be liable to the other for indirect or consequential losses, including loss of anticipated profits, business opportunities, goodwill, expected savings or data, where such losses are legally excludable and were not otherwise expressly accepted under a written agreement.
Ewezon shall not be liable for loss arising solely from circumstances outside its reasonable control, the independent acts of third parties, inaccurate information supplied by a client or the client’s failure to comply with agreed obligations, except to the extent that such loss results from Ewezon’s own breach, negligence or other liability recognised by law.
Where legally permissible, any contractual cap on Ewezon’s aggregate liability must be expressly agreed in the relevant transaction contract and should be proportionate to the nature and value of the engagement.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct or any other liability that cannot lawfully be excluded or limited.
The parties shall take reasonable steps to mitigate losses when a problem arises.
21. INDEMNITY
To the extent permitted by applicable law, a client shall be responsible for losses, claims, liabilities and reasonable costs arising from the client’s unlawful conduct, material breach of contract, infringement of third-party rights or knowingly false information supplied to Ewezon.
This provision does not make a client responsible for losses caused by Ewezon’s own breach, negligence, unlawful conduct or other liability that cannot lawfully be transferred or excluded.
Any indemnity shall be interpreted consistently with the applicable contract and law.
22. FORCE MAJEURE
Neither party shall be responsible for a delay or failure to perform an obligation to the extent it is caused by an event beyond that party’s reasonable control and could not reasonably have been avoided or overcome.
Such events may include natural disasters, flooding, fire, epidemic or pandemic restrictions, war, terrorism, civil unrest, strikes, port closures, government restrictions, sudden regulatory changes, embargoes, major transport disruptions, widespread telecommunications or power failures and significant supplier or infrastructure disruptions.
The affected party shall notify the other party within a reasonable time where practicable, explain the impact and take reasonable steps to reduce the consequences.
Performance shall be suspended only to the extent and for the period reasonably affected. If the disruption continues for a material period, the parties shall discuss an appropriate adjustment, alternative arrangement or lawful termination.
Any payment obligations already accrued, rights arising before the event and mandatory legal rights shall remain subject to the relevant contract and law.
23. TERMINATION AND SUSPENSION
A party may terminate a transaction in accordance with its written agreement or applicable law.
Where a party commits a material breach that can be remedied, the other party may provide written notice requiring the breach to be remedied within a reasonable specified period.
Where a breach is not remedied within that period, the non-breaching party may exercise the termination rights available under the agreement or law.
Ewezon may suspend affected services where reasonably necessary because of non-payment, unlawful activity, a material security risk, required regulatory action or another legitimate contractual ground.
Upon termination, the parties shall settle outstanding amounts, address completed work and committed expenses, return or protect confidential information where required, and comply with any applicable handover or post-termination obligations.
Termination shall not affect rights or liabilities accrued before termination or provisions intended by their nature to continue afterwards.
24. ANTI-FRAUD, ANTI-BRIBERY AND LAWFUL BUSINESS CONDUCT
Ewezon expects all clients, suppliers, agents and business partners to conduct transactions honestly and lawfully.
No party shall offer, request, authorise or accept an unlawful bribe, kickback, improper inducement or other prohibited payment in connection with a transaction.
Clients and business partners must not use Ewezon’s services to facilitate fraud, money laundering, terrorist financing, sanctions evasion, false trade documentation, tax evasion or the unlawful movement of goods or funds.
We may request reasonable transaction information or suspend a transaction where necessary to investigate suspected fraud, satisfy legal requirements or protect the legitimate interests of the parties.
Where legally required, suspected unlawful conduct may be reported to the appropriate authorities.
25. ESCROW AND PAYMENT FACILITATION
Where Ewezon offers a separately agreed transaction-protection, escrow or payment-facilitation arrangement, the service shall be governed by a separate written agreement identifying the parties, the funds-handling arrangements, the conditions for release, dispute procedures, fees, applicable safeguards and the responsibilities of each party.
No such service should be assumed to exist merely because the website refers to trade support, procurement, payment coordination or transaction assistance.
Ewezon shall not represent itself as a licensed bank, deposit-taking institution, payment service provider or regulated escrow operator unless it holds the necessary authorisation or is lawfully acting through an appropriately authorised provider.
Where applicable law requires a regulated provider, the arrangement must use that provider and comply with the relevant legal requirements.
Clients must not transfer funds for an escrow or protected transaction unless they have received and verified the official written terms and authorised payment instructions.
26. DISPUTE RESOLUTION
The parties shall endeavour to resolve disputes through good-faith discussions between their authorised representatives.
A party raising a dispute should provide written notice describing the issue, the relevant transaction and the resolution sought. The parties should make reasonable efforts to resolve the matter within thirty (30) days of the notice, or within another period agreed in writing.
If the dispute cannot be resolved through negotiation, either party may pursue any mediation, arbitration or court procedure available under the applicable agreement and law.
Arbitration shall apply only where the parties have entered into a valid arbitration agreement or are otherwise legally bound to arbitrate.
Nothing in this section prevents a party from seeking urgent interim relief or exercising a mandatory legal right.
27. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by the laws of the Federal Republic of Nigeria, except where a mandatory legal rule requires otherwise.
Subject to any valid arbitration agreement, applicable mandatory law and the jurisdiction of a competent court, disputes relating to these Terms shall be brought before a court with appropriate jurisdiction in Nigeria.
International transactions may also be affected by mandatory laws, customs requirements, product regulations and contractual delivery terms in the relevant countries.
Where appropriate, a separate international supply or service contract should specify the applicable law, dispute forum, language and enforcement arrangements for the transaction.
28. THIRD-PARTY WEBSITES AND SERVICES
Our website may contain links to third-party websites, software platforms, payment services, logistics providers or other external resources.
Such links are provided for convenience or business purposes. Unless expressly stated otherwise, Ewezon does not own or control those external services and is not responsible for their independent content, availability, security, policies or performance.
Your use of a third-party service may be subject to separate terms and privacy policies. You should review those terms before using the service or providing information to the provider.
29. NOTICES AND ELECTRONIC COMMUNICATIONS
Business communications may be conducted through email, telephone, electronic forms and other agreed communication channels.
Where permitted by law, electronic records, approvals and signatures may be used to document business transactions.
Formal notices shall be delivered using the contact details and procedures specified in the applicable contract. Clients must promptly notify Ewezon of any material change to their contact or business information.
An informal conversation or message shall not amend a written agreement unless the parties’ communication satisfies the amendment requirements of that agreement and applicable law.
30. AMENDMENTS TO THESE TERMS
Ewezon may update these Terms from time to time to reflect changes in our services, business practices, technology or legal obligations.
The revised version shall be published on this page with an updated “Last Updated” date.
Unless applicable law requires otherwise, revisions shall apply to website use from the date of publication. Existing transactions shall continue to be governed by their applicable written agreements and any legally effective amendments.
Where a change materially affects an existing contractual relationship, we shall follow the notice and consent requirements applicable to that relationship.
31. SEVERABILITY
If any provision of these Terms is held to be invalid, unlawful or unenforceable by a competent authority, that provision shall be limited or severed to the minimum extent necessary.
The remaining provisions shall continue in effect to the extent that they remain legally enforceable.
32. NO WAIVER
A failure or delay by Ewezon in exercising a right or remedy shall not automatically constitute a waiver of that right or remedy.
Any waiver must be assessed in accordance with the applicable agreement and law. A waiver in one instance does not automatically apply to another instance.
33. ASSIGNMENT
Neither party may transfer its material contractual rights or obligations to another party except as permitted by the applicable agreement or law, or with any consent required under that agreement.
Ewezon may engage qualified subcontractors or service providers to perform agreed activities where permitted by the relevant contract and applicable law. Such arrangements shall not automatically remove Ewezon’s own contractual responsibilities.
34. ENTIRE AGREEMENT
These Terms, together with any applicable quotation, accepted proposal, invoice, purchase order, privacy notice and written service or supply agreement, constitute the relevant contractual framework for the matters they cover.
For a particular transaction, the signed or otherwise validly accepted transaction-specific agreement shall govern where it expressly addresses an issue differently from these general Terms.
Nothing in this section excludes liability for fraud or misrepresentation where such exclusion would be unlawful.
